Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Ishani Logic (OPC) Private Limited (“us”, “we”, or “our”), including our website at https://www.ishani.ltd and sub-domains, WhatsApp Business API integration, messaging solutions, automation tools, dashboards, and related software/services (collectively, the “Service”).

By accessing, registering for, or using the Service, you (“you”, “your”, “User”, or “Customer”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

We provide the Service as a technology provider facilitating WhatsApp Business API connectivity. You must also comply with Meta’s/WhatsApp’s policies, including the WhatsApp Business Terms of Service, WhatsApp Business Solution Terms, WhatsApp Business Messaging Policy, Commerce Policy, and all related guidelines (collectively, “Meta Policies”). In case of conflict, Meta Policies prevail for WhatsApp-related usage.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is not available to individuals under 18 or to any users previously suspended or removed by us.

2. Account Registration and Security

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You must notify us immediately of any unauthorized use or security breach.

3. License and Access

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.

4. Prohibited Uses

You agree not to (and not to allow others to):

• Violate any Meta Policies, including sending unsolicited messages, spam, or messages without explicit user opt-in/consent.
• Use non-approved message templates or send messages outside permitted windows (e.g., 24-hour customer service window without templates).
• Engage in illegal activities, fraud, harassment, or transmission of harmful code.
• Reverse engineer, decompile, or attempt to derive source code from the Service.
• Resell, sublicense, or provide the Service to third parties without our written consent.
• Overburden, interfere with, or compromise the security/integrity of the Service or WhatsApp platform.

5. WhatsApp Compliance Obligations

As a WhatsApp Business API provider:

• You must obtain explicit user opt-in/consent before sending messages and maintain records.
• You must use only Meta-approved message templates for business-initiated conversations.
• You must not facilitate spam, prohibited content (e.g., illegal, discriminatory, adult, or misleading messages), or any violation of Meta Policies.
• We may suspend or terminate your access immediately if your usage risks our WhatsApp partnership or violates policies.
• You are solely responsible for your content, messages, and compliance with all applicable laws (including DPDPA 2023 for personal data processing).

6. Fees and Payment

Fees are as specified in your order/subscription plan. All fees are non-refundable except as expressly stated. We may modify pricing with notice. You are responsible for all taxes.

7. Intellectual Property

We own all rights, title, and interest in the Service, including software, designs, and trademarks. You retain ownership of your content but grant us a license to use it as necessary to provide/improve the Service.

8. Data Processing and Privacy

Your use of the Service involves processing personal data. See our Privacy Policy for details. We process data in compliance with DPDPA 2023 (for India) and GDPR (where applicable). You are the data fiduciary/controller for data you process via the Service; we act as processor where applicable.

9. Termination

We may suspend or terminate your access for breach, non-payment, or policy violations. Upon termination, your right to use the Service ends immediately.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, consequential, incidental, or punitive damages. Our total liability shall not exceed fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Service, violation of these Terms, Meta Policies, or infringement of third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India.

13. Changes to Terms

We may update these Terms. Changes are effective upon posting. Continued use constitutes acceptance.
